1. Application
1.1 This Fee Schedule forms part of the Terms of Service between PostReach AI Limited ("Vistason") and each Customer and sets out the fees for use of the Vistason Platform. Capitalised terms have the meanings in the Terms of Service. Where a signed order form or enterprise agreement states different fees, that document prevails.
1.2 All fees are stated in US dollars unless another currency is agreed in writing, and are exclusive of VAT, sales tax, withholding tax and similar taxes, which are charged in addition where applicable.
1.3 Founding-cohort, pilot or promotional terms (for example a reduced or zero success fee on a Seller's first package) apply only where confirmed in writing by Vistason and only for the period and Listings stated.
2. Success fee (payable by the Seller)
2.1 Rate. The Seller pays a success fee on each completed sale at the following rates, applied to the Fee Base defined in clause 2.3:

2.2 Where a single Transaction contains Units falling in more than one tier, the tier is determined by the Transaction as a whole: a Transaction of [—] or more Units, or with a Fee Base of USD [—] or more, is treated as a package. Vistason may publish volume tiers reducing the rate above stated annual Fee Base thresholds, for example [—]% above USD [—] of cumulative annual Fee Base.
2.3 Fee Base. The success fee is calculated on the price of the Material agreed between Seller and Buyer as recorded in the Deal Room at Acceptance (as adjusted by any agreed price reduction under the Dispute Resolution & Returns Policy), excluding freight, packing and handling charges, insurance, customs duties, VAT and other taxes, and the settlement fee. Where a price is agreed in a currency other than US dollars, the Fee Base is converted at the [PAYMENT SERVICES PROVIDER]'s rate on the date of release.
2.4 When earned. The success fee is earned when Vistason releases the settlement funds to the Seller (in whole or, for partial releases, pro rata). No success fee is payable where a Transaction is cancelled before release without fault of the Seller, or where funds are refunded in full to the Buyer under the Dispute Resolution & Returns Policy. Where a Transaction is cancelled through the Seller's fault after the Buyer has paid the Settlement Account, Vistason may charge the Seller the cancellation fee in clause 6.
2.5 Circumvention. Where a sale is concluded off-platform in breach of the non-circumvention rule in the Marketplace Rules, the success fee is payable on the price actually agreed, or on the last price recorded on the Platform if higher, and is invoiced directly.
2.6 Collection. The Seller authorises Vistason to deduct the success fee, and any other sums due to Vistason, from the settlement funds before releasing the balance to the Seller. Where the deduction is not possible (for example because the funds were released in full or the sale was concluded off-platform), Vistason invoices the Seller, payable within [30] days.
2.7 Invoicing and VAT. Vistason issues a tax invoice to the Seller for each success fee on the date of release, showing the Fee Base, rate, fee and applicable VAT. For Sellers established in [COUNTRY] VAT at the standard rate applies; for business Sellers established in other EU member states the reverse-charge mechanism applies and the Seller's VAT number must be on record; for Sellers outside the EU no VAT is charged unless required by law. The Seller is responsible for any withholding taxes in its jurisdiction and shall gross up in accordance with the Terms of Service.
3. Settlement fee (payable by the Buyer)
3.1 Rate. The Buyer pays a settlement fee of [FEE %] of the total amount payable into the Settlement Account for the Transaction (price, plus any freight, insurance and taxes settled through the Settlement Account), subject to a minimum of USD [—] and, where stated, a maximum of USD [—] per Transaction. The fee is stated in the Deal Room before the Buyer confirms payment.
3.2 Seller and Buyer may agree in the Deal Room, before Acceptance, that the settlement fee is borne by the Seller or shared; absent such agreement it is borne by the Buyer.
3.3 Currency handling. Settlement funds are held in the Transaction currency stated in the Listing (USD by default; EUR and GBP where supported by the [PAYMENT SERVICES PROVIDER]). Where a party pays or receives in another currency, conversion is performed by the [PAYMENT SERVICES PROVIDER] at its published rate plus a conversion margin of [—]%, disclosed before payment. Vistason does not set exchange rates.
3.4 Bank charges. Incoming and outgoing bank charges, intermediary bank fees and charges for returned or rejected payments are borne by the party incurring them and may be deducted by the [PAYMENT SERVICES PROVIDER]. The Buyer must pay the full amount stated; a shortfall, including one caused by bank charges, must be made up before the Transaction proceeds.
3.5 Refunds. Where funds are refunded to the Buyer under the Dispute Resolution & Returns Policy, the settlement fee is refunded only where the refund results from the Seller's fault; otherwise it is retained to cover the cost of operating the Settlement Account, including the [PAYMENT SERVICES PROVIDER]'s charges. Bid deposits are held in the Settlement Account without fee to unsuccessful bidders.
4. Radar subscriptions (payable by the subscriber)
4.1 Plans.

4.2 Billing cycle. Pro plans are billed monthly or annually in advance by card or invoice; Enterprise plans are billed as stated in the order form. Annual plans are invoiced for the full year at the start of the term.
4.3 Auto-renewal. Subscriptions renew automatically for successive terms of the same length unless cancelled. To avoid renewal, the Customer must cancel through Account settings or by written notice at least [30] days before the end of the current term (for monthly plans, before the next billing date). Fees for the current term are not refundable on cancellation. This is a business-to-business subscription and no consumer cancellation rights apply.
4.4 Seats. Pro plans are priced per Authorised User seat. Seats may be reassigned between Authorised Users but not shared. Additional seats added mid-term are charged pro rata to the end of the term.
4.5 Upgrades and downgrades. Upgrades take effect immediately and are charged pro rata. Downgrades take effect at the end of the current term. Moving from annual to monthly takes effect at the end of the annual term.
4.6 Taxes and price changes. Subscription prices exclude VAT. Vistason may change subscription prices on [30] days' notice; the new price applies from the next renewal.
4.7 Radar subscriptions do not give any priority in Tender evaluation or any right to purchase; they affect only notification and data features.
5. Optional services
5.1 Managed onboarding. Ingestion of inventory exports, AI-assisted normalisation and review support by Vistason's team: included for Sellers in the founding cohort or on Enterprise terms; otherwise USD [—] per Listing or USD [—] per [1,000] Units, quoted in advance.
5.2 Photo and document service. Where a Seller cannot supply compliant photographs or scanned Trace Documents, Vistason may arrange a photographer or document-scanning team at the Seller's location: USD [—] per Unit (photos) and USD [—] per document, plus travel at cost, quoted in advance.
5.3 Inspection coordination. Vistason may arrange a pre-purchase or dispute inspection by an independent inspector; the inspector's fees and expenses are passed through at cost to the party requesting or, in a dispute, to the party determined responsible under the Dispute Resolution & Returns Policy, plus a coordination fee of USD [—].
5.4 Freight coordination. Freight quotes are provided by third-party forwarders and passed through at the forwarder's price; Vistason charges no margin unless stated in the quote. Freight is contracted between the responsible party and the forwarder. Where freight is settled through the Settlement Account it is included in the settlement fee base under clause 3.1.
5.5 Tender administration. Standard Tender and Timed Auction administration is included in the success fee. Bespoke programmes (multi-stage fleet-exit processes, physical viewing days, translated documents) are quoted by order form.
5.6 Data and integration services. Custom data exports, API usage above plan limits and M&E system integrations are priced in the Enterprise order form.
6. Cancellation and default fees
6.1 Buyer payment default. Where a Buyer fails to pay the Settlement Account within [7] days of Acceptance or award, Vistason may charge the Buyer a cancellation fee of the greater of USD [—] and [—]% of the agreed price, without prejudice to the Seller's rights and to forfeiture of any bid deposit under the Tender and Auction Rules.
6.2 Seller cancellation after the funds are secured. Where a Seller cancels a Transaction after the Buyer has paid the Settlement Account, other than under the Dispute Resolution & Returns Policy, Vistason may charge the Seller a cancellation fee equal to the success fee that would have been earned, subject to the minimum fee.
7. Payment terms, late payment and set-off
7.1 Invoices not settled by deduction from settlement funds are payable within [30] days of the invoice date by bank transfer to the account stated on the invoice, in the invoice currency, without deduction.
7.2 Overdue amounts bear interest at [—]% per [month/annum] (or, if lower, the maximum rate permitted by law), accruing daily from the due date until payment, together with reasonable collection costs. Vistason may suspend Services, including Radar and bidding privileges, for amounts more than [10] days overdue after notice, and may set off undisputed overdue amounts against any sums payable to the Customer.
7.3 Disputed invoice items must be notified in writing within [15] days of the invoice date, with reasons; undisputed items remain payable.
8. Changes to fees
8.1 Vistason may change this Fee Schedule on not less than [30] days' notice by email to the Account Admin and by publication on the Platform. Changed success fees and settlement fees apply only to Transactions where Acceptance occurs on or after the effective date; changed subscription prices apply from the next renewal; optional-service prices apply to orders placed after the effective date.
8.2 Fees agreed in a signed order form are fixed for the term stated in that order form.
9. Worked examples (illustrative only; placeholder rates)
9.1 Example A — single Unit, best offer. A Seller lists one overhauled fuel pump. A Buyer offers USD 21,000 EXW, the Seller accepts, and the Buyer also agrees freight of USD 600 arranged through the Deal Room and settled through the Settlement Account.
- Buyer pays the Settlement Account: USD 21,000 + USD 600 = USD 21,600, plus settlement fee USD 21,600 × [FEE %] = USD [—]. Total payable: USD 21,600 + USD [—].
- Fee Base for the success fee: USD 21,000 (freight excluded).
- Success fee: USD 21,000 × [6%] = USD 1,260 (single-unit tier, placeholder rate; above the minimum fee of USD [—]).
- On release: Vistason releases USD 21,600 − USD 1,260 = USD 20,340 to the Seller, of which USD 600 is the freight amount for the Seller to settle with the forwarder, and retains USD 1,260 plus applicable VAT invoiced to the Seller.
9.2 Example B — Tender, package award. A lessor runs a Tender on an end-of-lease rotables package of 180 Units. The winning bid is USD 400,000 EXW; no freight is settled through the Settlement Account; the Buyer lodged a bid deposit of USD 20,000.
- Buyer pays the Settlement Account: USD 400,000 − USD 20,000 deposit = USD 380,000 balance, plus settlement fee USD 400,000 × [FEE %] = USD [—] (the fee applies to the whole amount payable, including the deposit; if a maximum fee of USD [—] applies, the lower figure is charged).
- Fee Base: USD 400,000.
- Success fee: USD 400,000 × [4%] = USD 16,000 (package/tender tier, placeholder rate).
- On release: the Seller receives USD 400,000 − USD 16,000 = USD 384,000; Vistason retains USD 16,000 plus applicable VAT. If the Buyer had failed to pay the Settlement Account, the USD 20,000 deposit would be forfeited to the Seller less Vistason's fee on the deposit calculated at the same [4%] = USD 800, and the Buyer would be liable for the cancellation fee in clause 6.1.
9.3 These examples assume the placeholder rates shown and round to whole dollars. Actual fees are those in force at Acceptance as shown in the Deal Room.
